服务条款
1. 接受条款
注册或使用 dazhuzi.ai 及其控制台提供的 AI Agent 托管服务(下称"服务"),即表示你同意本条款与隐私政策。如你代表企业或组织使用,即表示你有权使该组织受本条款约束。
2. 服务内容
我们为你提供托管的 AI Agent 实例(包括但不限于 CodingAgent、OpenClaw、Hermes 等引擎)、模型调用网关、计量计费与审计等平台能力。服务目前处于持续迭代阶段,功能可能新增、调整或下线,我们会尽力提前告知重大变更。
3. 账户
- 你应提供真实、准确的注册信息,并妥善保管登录凭据;通过你账户发生的一切活动由你负责。
- 组织管理员可管理组织内成员、配额与账单,并对组织内成员的使用行为负责。
- 发现账户被未经授权使用时,请立即通知我们。
4. 可接受使用
你不得利用服务从事以下行为:违反适用法律法规;攻击、扫描或干扰任何系统与网络;尝试逃逸实例隔离或访问其他租户的数据;加密货币挖矿或其他与服务目的无关的大规模算力消耗;发送垃圾信息、进行欺诈;生成或传播违法、侵权或有害内容;违反所用模型供应商的使用政策。我们有权对违规账户采取限制、暂停或终止措施。
5. 费用与付款
- 服务按预付余额 + 按量计费方式提供:实例按运行时长计费,模型调用按 token 用量计费,无订阅月费、无最低消费。
- 现行费率在控制台公示;费率调整会提前通知,并自通知载明的日期起适用于新产生的用量。
- 余额耗尽时,运行中的实例将被停止、新实例无法创建,充值后可恢复。
- 邀请或活动赠送的免费额度仅供体验,不可提现或退款。
- 充值经 Airwallex 处理,你需遵守其支付条款。
6. 退款
已充值但尚未消耗的余额,你可随时通过 dzz@dazhuzi.ai 申请退款,我们在核实后 10 个工作日内按原支付路径退回,支付渠道收取的手续费(如有)将从退款中扣除。已消耗的用量、赠送额度不予退款。因你违反本条款导致账户终止的,余额退款依个案处理。
7. 你的内容
你对在实例中输入、上传或生成的内容(下称"你的内容")拥有全部权利并承担全部责任。你授予我们为提供服务所必需的、非独占的处理许可(存储、传输、调用模型等)。我们不会将你的内容用于训练模型,也不会在提供服务之外使用。
8. 第三方模型与服务
服务集成了第三方大语言模型与基础设施。模型输出由第三方模型生成,可能存在错误或不当之处,你应自行判断其适用性;第三方服务的可用性与条款变更不受我们控制。
9. 知识产权
平台软件、界面、文档及品牌标识归我们或相应权利人所有。除本条款明示授权外,你不得复制、反向工程或以其他方式利用平台组件。
10. 服务可用性与免责
我们会尽合理努力维持服务稳定,但不保证服务不中断、无错误。服务按"现状"提供,不作任何明示或默示的保证。在适用法律允许的最大范围内,我们对因使用或无法使用服务而产生的间接、附带、特殊或后果性损失不承担责任;我们对你承担的全部责任总额,以你在争议发生前三个月内向我们支付的费用为限。
11. 终止
你可随时注销账户。我们可在你违反本条款、长期未使用或法律要求时暂停或终止服务,并尽可能提前通知。终止后,第 6 条关于余额退款的约定仍然适用;你的内容将按隐私政策所述期限删除。
12. 适用法律与争议解决
本条款受中华人民共和国香港特别行政区法律管辖。因本条款引起的争议,双方应先友好协商;协商不成的,提交香港有管辖权的法院解决。

Terms of Service
1. Acceptance
By registering for or using the hosted AI Agent services provided through dazhuzi.ai and its console (the "Service"), you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you can bind that organization.
2. The Service
We provide hosted AI Agent instances (including CodingAgent, OpenClaw and Hermes engines), a model gateway, usage metering, billing and audit capabilities. The Service evolves continuously; features may be added, changed or retired, and we will do our best to give advance notice of material changes.
3. Accounts
- Provide accurate registration details and keep your credentials secure; you are responsible for all activity under your account.
- Organization administrators manage members, quotas and billing for their organization and are responsible for members' use.
- Notify us immediately of any unauthorized use.
4. Acceptable use
You must not use the Service to break applicable law; attack, scan or disrupt any system or network; attempt to escape instance isolation or access other tenants' data; mine cryptocurrency or otherwise consume compute unrelated to the Service's purpose; send spam or commit fraud; generate or distribute unlawful, infringing or harmful content; or violate the usage policies of the model providers you use. We may restrict, suspend or terminate accounts in breach.
5. Fees and payment
- The Service is prepaid and usage-based: instances are billed by runtime and model calls by token usage. There is no subscription fee and no minimum spend.
- Current rates are published in the console. Rate changes are announced in advance and apply to usage after the stated date.
- When your balance is exhausted, running instances stop and new instances cannot be created until you top up.
- Promotional or invitation credits are for trial use only and are neither withdrawable nor refundable.
- Top-ups are processed by Airwallex under its payment terms.
6. Refunds
You may request a refund of any unused prepaid balance at any time by emailing dzz@dazhuzi.ai. After verification we refund to the original payment method within 10 business days, less any payment-processor fees. Consumed usage and promotional credits are not refundable. Where an account is terminated for breach, refunds are handled case by case.
7. Your content
You own and are responsible for everything you input, upload or generate inside your instances ("Your Content"). You grant us a non-exclusive license to process Your Content solely as needed to provide the Service (storage, transmission, model calls). We do not use Your Content to train models or for any purpose beyond providing the Service.
8. Third-party models and services
The Service integrates third-party language models and infrastructure. Model outputs are generated by those third parties and may be inaccurate or inappropriate; you are responsible for evaluating their suitability. Third-party availability and terms are outside our control.
9. Intellectual property
The platform software, interfaces, documentation and branding belong to us or our licensors. Except as expressly permitted here, you may not copy, reverse-engineer or otherwise exploit platform components.
10. Availability and disclaimer
We make reasonable efforts to keep the Service stable but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, and our total liability to you is limited to the fees you paid us in the three months preceding the claim.
11. Termination
You may close your account at any time. We may suspend or terminate the Service for breach, prolonged inactivity or legal requirements, with notice where practicable. Section 6 continues to apply to any remaining balance; Your Content is deleted on the schedule described in the Privacy Policy.
12. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes are to be resolved first through good-faith negotiation and otherwise by the courts of Hong Kong.
13. Changes and contact
